This agreement is for advertising published by The Colorado Vacation Directory, Inc. Advertiser is obligated for and will be billed for all services on this contract. Advertiser agrees to review all published services within 90 days of contract date, and return all update/changes before stated deadline. If updates/changes are not returned by stated deadline, Advertiser forfeits compensation for errors. Internet advertising is provided in whole month increments and will begin the first of the month following the date of this agreement unless otherwise specified. Internet advertising will be fully earned for any month after it is published on the first of that month. In the event of cancellation of services, unearned advertising will be prorated and refunded on a monthly basis. 25% of the "Total" on this contract is an Administration fee for advertising and is considered earned and is non-refundable. Balance for all advertising is due 90 days from contract date. Unpaid balances will be charged 2% service charge each month balance remains unpaid after due date. Advertiser authorizes The Colorado Vacation Directory, Inc. to charge Credit/Debit card on file any balance over 30 days past due. The Colorado Vacation Directory Inc., the "Publisher," reserves the right to discontinue advertising at any time and refund unearned advertising revenue. Publisher's liability will be limited to the amount paid for advertising. Advertiser agrees to pay reasonable attorney and collection fees for Publisher if Publisher engages an attorney to protect and preserve Publisher's rights under this contract. Publisher and Advertiser agree and acknowledge this contract is for services to be performed in Boulder County, Colorado, and any action upon this contract shall be tried in Boulder County, Colorado. This contract is entered into, pursuant to, and shall be construed and enforced according to Colorado State laws. It is agreed Advertiser will indemnify and save Publisher harmless from and against any loss, expense, or other liability resulting from any claims or suits for libel, violation of right of privacy, plagiarism, copyright infringement, and any other claims or suits arising out of publication of such advertisement. Internet text may be changed twice a year at no charge. Additional Internet changes are $100 per time. Advertising copy created for Advertiser by Publisher remains the sole property of Publisher. Photographs taken by Publisher for Advertiser remain the sole property of Publisher and if Advertiser uses any such photograph for any use other than The Colorado Vacation Directory, Inc. advertising then Advertiser agrees to pay $3000 per photo to Publisher. If Publisher elects to not publish a print version of The Colorado Vacation Directory, Advertiser agrees that all funds will be applied toward internet advertising. Subject matter, size, wording, illustration, space, typography and acceptance of advertising subject to Publisher's approval. Emails off The Colorado Vacation Directory, Inc. internet site to Advertiser are not confidential and may be monitored. Advertiser gives the right to Publisher to stop or block all emails that are for solicitations other than reservations. I have verified ad copy and agree to the above payment schedule and terms. Advertiser acknowledges receiving a copy of this agreement.
